Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Brian Torres, an individual doing business as URPay ("URPay," "we," "us," or "our"). By creating an account or using the URPay mobile app or website ("Service"), you agree to these Terms. If you don't agree, don't use the Service.
Short version: Use URPay lawfully, pay for the plan you choose, cancel anytime and keep access until your billing period ends, we don't guarantee uptime perfection, and disputes are governed by California law.
1. Eligibility
You must be at least 18 years old and capable of entering a binding contract. If you're using URPay on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Your Account
You're responsible for everything that happens under your account, including keeping your password secure. Tell us immediately at brian07rt@gmail.com if you suspect unauthorized access. You agree to give accurate information when you sign up and to keep it updated.
3. Subscription Plans and Billing
Plans
- Free — limited features, no charge.
- Pro — $49/month, billed monthly.
- Business — $79/month, billed monthly.
Prices may change with 30 days' notice. Changes won't affect your current billing period.
Payment
Paid subscriptions are processed by Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring monthly basis until you cancel. You're responsible for keeping your payment method up to date.
Cancellation
You can cancel anytime in the app under Settings → Cancel Subscription. When you cancel, your subscription stays active until the end of your current billing period, then downgrades to Free automatically. You keep full access to paid features until that date.
Refunds
Subscription fees are non-refundable. Because you keep access to paid features until the end of your billing period after cancelling, no pro-rated refunds are issued. Exception: we may issue refunds at our discretion for clear billing errors or extended service outages.
Failed payments
If a payment fails, we'll retry and notify you. If it stays unpaid, your account may be downgraded to Free until you update your payment method.
4. Acceptable Use
Don't use URPay to:
- Break the law or help someone else break it
- Upload false, fraudulent, or deceptive information (including fake invoices or inflated costs)
- Impersonate anyone or misrepresent your business
- Harass, threaten, or harm others
- Upload malware, viruses, or content that violates someone else's intellectual property
- Reverse engineer, scrape, or interfere with the Service
- Resell or white-label the Service without written permission
We can suspend or terminate accounts that violate these rules.
5. Your Content
You own the data you put into URPay — your jobs, costs, invoices, clients, photos, and business info. We don't claim ownership. You grant us a limited license to store, process, and display your data only as needed to provide the Service to you.
You're responsible for making sure you have the right to upload any content you add (for example, photos of jobsites or client information).
6. AI Features
URPay uses AI (via Anthropic's Claude API) for features like voice-to-invoice, profit insights, and weekly summaries. AI output can be inaccurate or incomplete. Don't rely on it as the sole basis for financial, tax, or legal decisions. Always review before using AI-generated content with clients, workers, or tax filings.
7. Third-Party Services
URPay integrates with Stripe (payments), Supabase (data hosting), Anthropic (AI), and Apple (Sign In with Apple). Your use of these services is subject to their own terms. We're not responsible for third-party outages, bugs, or policy changes.
8. Intellectual Property
The URPay name, logo, app, website, and source code are our property (or licensed to us). You may not copy, modify, or distribute any part of the Service except as these Terms allow.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We don't guarantee the Service will be uninterrupted, error-free, or meet every need. You use URPay at your own risk.
URPay is business software, not a replacement for licensed legal, tax, or accounting professionals. Consult the appropriate professional for important decisions.
10. Limitation of Liability
TO THE FULLEST EXTENT ALLOWED BY LAW, URPay AND ITS OWNER ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to defend and hold URPay and its owner harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.
12. Termination
You can stop using the Service or delete your account anytime. We can suspend or terminate your account if you violate these Terms, don't pay, or if we stop offering the Service. Sections that by their nature should survive termination (ownership, disclaimers, liability limits, governing law) will survive.
13. Changes to the Service and Terms
We may change, add to, or discontinue features. We may update these Terms by posting a new version and updating the "Last updated" date at the top. If changes are material, we'll notify you by email or in the app at least 30 days before they take effect. Continued use means you accept the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in San Luis Obispo County, California, and you consent to personal jurisdiction there.
15. Miscellaneous
- These Terms are the entire agreement between you and URPay about the Service.
- If any part of these Terms is found unenforceable, the rest stays in effect.
- Our failure to enforce any right isn't a waiver of that right.
- You can't assign these Terms without our written consent. We can assign them to a successor or buyer of URPay.
